Terms & Conditions

Please review the official commercial terms, service agreements, payment conditions, and client obligations governing your engagement with BridGap Corporation LLP.

01Agreement to Terms & Operational Scope

These Terms & Conditions (“Agreement”) constitute a legally binding agreement between your medical/dental practice or entity (“Client”, “you”) and BridGap Corporation LLP(“Bridgap”, “we”, “our”, or “us”).

By accessing our website (BRIDGAPCORP.COM), enrolling in our remote insurance verification or dental billing workflows, or purchasing practice supplies, you acknowledge that you have read, understood, and agree to be bound by these Terms and our related Privacy Policy and Cancellation & Refund Policy.

02Commercial Relationship & BAA Requirement

BridGap Corporation LLP operates strictly as a Business-to-Business (B2B) practice enablement partner. We provide administrative, billing coordination, eligibility verification, and promotional supplies directly to licensed healthcare providers and clinics.

  • Business Associate Agreement (BAA): Prior to transmitting any Protected Health Information (PHI) or granting access to your practice management system, both parties shall execute a standard HIPAA Business Associate Agreement.
  • Independent Contractor Status: Bridgap acts as an independent administrative contractor. We do not provide clinical medical advice, diagnose conditions, or prescribe medical treatments. Final clinical and billing decisions remain solely with the licensed healthcare provider.

03Pricing, Invoicing & Payment Terms

All fees for recurring administrative support plans and one-time physical supply orders are structured as follows:

  • Currency & Taxes: Pricing is denominated and accepted in United States Dollars (USD) and Indian Rupees (INR) as displayed on our website or confirmed in your written service order. Transactions are processed securely in compliance with RBI guidelines. Prices are exclusive of statutory taxes (such as Goods and Services Tax - GST) unless explicitly stated otherwise.
  • Payment Gateway Processing: Online payments are processed through secure, bank-authorized payment gateways, including HDFC Bank Payment Gateway (SmartGateway). Clients agree to provide valid, authorized payment instruments (credit cards, debit cards, net banking, or corporate UPI accounts).
  • Recurring Monthly Retainers: Monthly administrative retainers are invoiced in advance of each billing cycle. Failure to settle outstanding invoices within 15 calendar days of due date may result in a temporary suspension of overnight verification queues.
  • Security Protocol: In accordance with RBI and banking mandates, we do not store full card numbers, CVVs, or bank security PINs on our servers.

04Custom Practice Supplies & Intellectual Property

When ordering custom branded practice stationery, referral tear pads, or promotional materials:

  • Client Trademarks: You grant Bridgap a limited, non-exclusive license to reproduce your clinic logos, provider names, and artwork solely for the purpose of fulfilling your custom printed stationery orders. You warrant that you own or possess legal rights to all submitted trademarks.
  • Design Proof Approval: Before production commences, our team provides a digital proof. Once approved by the client in writing, the design is final and non-refundable, as detailed in our Cancellation & Refund Policy.
  • Bridgap Proprietary Assets: All website text, code, visual designs, brand assets, and platform workflows remain the exclusive intellectual property of BridGap Corporation LLP.

05Limitation of Liability & Indemnification

While Bridgap exercises the highest standard of care and maintains a 99%+ target verification accuracy, insurance carrier benefit determinations and claim adjudications are controlled exclusively by third-party insurance payers.

  • Payer Discretion: Insurance verification confirms active coverage and benefit breakdowns as provided by the carrier at the timestamp of verification. Carrier approval does not guarantee claim payment by the insurer.
  • Liability Cap:To the maximum extent permitted by applicable law, Bridgap’s aggregate liability arising out of or related to these Terms or our services shall not exceed the total fees paid by the Client to Bridgap during the three (3) months preceding the claim.
  • No Indirect Damages: Neither party shall be liable for indirect, incidental, punitive, or consequential damages.

06Termination of Services

Either party may terminate a monthly service engagement by providing written notice via email at least 14 calendar days prior to the start of the next billing cycle.

Upon termination, Bridgap will securely transition all client files, complete ongoing verification cycles through the paid term, and securely de-provision portal credentials in full compliance with HIPAA data retention protocols.

07Governing Law & Legal Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or transactions processed through our website shall be subject to the exclusive jurisdiction of the competent courts having territorial jurisdiction over our registered corporate office.
